Terms of Service & End User License Agreement

The agreement that governs your use of ShipOtter, including shipping carrier terms and trademark notices.

These Terms of Service and End User License Agreement (the "Terms") are a binding agreement between you and ShipOtter ("ShipOtter," "we," "us," or "our") and govern your access to and use of our website at shipotter.com and our application at app.shipotter.com (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. You agree to provide accurate information and to keep it current. We verify the email address used to create an account before activating it.

2. License grant

Subject to these Terms, ShipOtter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purpose of managing orders and purchasing shipping labels. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service, except to the extent that restriction is prohibited by law.

3. Shipping carriers (FedEx, UPS, USPS, DHL)

ShipOtter lets you obtain rates and purchase shipping labels through third-party carriers, including FedEx, UPS, the United States Postal Service (USPS), and DHL (each, a "Carrier"). Your use of any Carrier's services is also governed by that Carrier's own terms, service guides, and tariffs, which you agree to comply with. In particular:

4. Trademark & brand notices

FedEx, the FedEx logo, and FedEx service names are trademarks of Federal Express Corporation, used with permission. ShipOtter is not affiliated with, endorsed by, or sponsored by Federal Express Corporation. UPS and the UPS brandmark are trademarks of United Parcel Service of America, Inc. USPS®, United States Postal Service®, and related marks are trademarks of the United States Postal Service. DHL is a trademark of Deutsche Post AG. All other carrier and marketplace names, logos, and brands are the property of their respective owners and are used for identification purposes only. Use of these names does not imply any affiliation with or endorsement by the trademark holder.

5. Connected sales channels

The Service can connect to marketplaces and e-commerce platforms (such as eBay, Walmart, Shopify, Amazon, and Etsy) to import orders. Your use of each channel is governed by that channel's own terms. You represent that you are authorized to connect the accounts you link and to access the order data you import.

6. Fees, postage & payment

You agree to pay all fees and postage charges incurred through your use of the Service. Where you ship on a ShipOtter-provided Carrier account, you authorize ShipOtter to charge you for the postage purchased on your behalf plus any applicable service fees. Carrier adjustments (for example, for incorrect weight or dimensions) may be passed through to you. All fees are non-refundable except as required by law or as expressly stated.

7. Acceptable use

You agree not to use the Service to ship prohibited, hazardous, or unlawful items; to violate any Carrier or channel terms; to infringe others' rights; to transmit malware; to attempt to gain unauthorized access; or to interfere with the Service. We may suspend or terminate accounts that violate these Terms or that pose a risk to ShipOtter, a Carrier, or others.

8. Your data

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. You retain ownership of your business and order data; you grant ShipOtter the rights needed to operate the Service, including transmitting shipment data to Carriers.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ShipOtter does not warrant that the Service will be uninterrupted or error-free, and does not warrant the rates, delivery times, or performance of any Carrier.

10. Limitation of liability

To the maximum extent permitted by law, ShipOtter will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. ShipOtter's total liability for any claim relating to the Service will not exceed the amounts you paid to ShipOtter for the Service in the three months before the event giving rise to the claim. Claims relating to lost, damaged, or delayed shipments are governed by the responsible Carrier's terms.

11. Indemnification

You agree to indemnify and hold harmless ShipOtter and its affiliates from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your shipments, your violation of these Terms, or your violation of any Carrier or channel terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service, a Carrier, or others. Provisions that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws principles.
